Responsibility for Infringement:
I desire to engage AD-VANTAGE Embroidery to perform certain services from time to time involving the digitizing of logos, pattern and/or designs (collectively "Designs") for me so that the Designs may be embroidered and or printed by me. AD-VANTAGE Embroidery desires to perform the services requested by me. Accordingly, I and AD-VANTAGE Embroidery agree as follows:
  1. I represent and warrant to AD-VANTAGE Embroidery that the services performed for me by AD-VANTAGE Embroidery will not cause AD-VANTAGE Embroidery to infringe the copyright, patent, trademarks or other rights of third parties.
  2. I understand that I am solely responsible for obtaining all required clearances and permissions for the use, reproduction and distribution of the Designs, which are the subject matter of the services performed by AD-VANTAGE Embroidery for me.
  3. I understand that I accept all responsibility of third party's right based on any of the services performed AD-VANTAGE Embroidery for me.
  4. I shall indemnify and hold AD-VANTAGE Embroidery harmless against all claims, damages, and liabilities arising from the infringement of any copyright, patent, trademarks or proprietary right of third parties resulting from the services performed for me by AD-VANTAGE Embroidery.
  5. All digitized images created by AD-VANTAGE Embroidery can or will be used by in promotional material including advertising, magazines articles and website unless otherwise requested in writing.
